SMS TERMS

Last Updated: 10 September, 2026

These SMS Terms (“SMS Terms”) govern any text or graphic message mobile communications sent by or on behalf of INSTYTUTUM to users located in the United States in connection with the INSTYTUTUM US SMS Program (“SMS Program”).

By enrolling in the SMS Program, you represent and warrant that:

  • you are at least eighteen (18) years of age;

  • you are the authorized subscriber or customary user of the mobile telephone number provided;

  • the mobile phone number provided is accurate and current;

  • you have authority to provide consent for marketing communications sent to that number; and

  • you have voluntarily opted into the SMS Program and provided consent to receive marketing communications.

Participation in the SMS Program is voluntary and subject to these SMS Terms, our Privacy Policy, and, where applicable, our Terms and Conditions. By enrolling in the SMS Program, you agree to the terms set forth in these SMS Terms.

By voluntarily enrolling in the SMS Program, you expressly consent, where required by applicable law, to receive recurring marketing text or graphic messages (“Marketing Communications”) from or on behalf of INSTYTUTUM at the mobile telephone number you provide.

Your consent to receive marketing text messages is not a condition of purchasing any goods or services.

Marketing Communications

Subject to your consent, we may send recurring Marketing Communications relating to:

  • promotional offers and discounts;

  • new products or services;

  • educational and informational content;

  • product availability and restock notifications;

  • abandoned shopping cart reminders;

  • loyalty or rewards programs;

  • special events and campaigns;

  • other promotional or marketing messages.

Transactional Communications

We may send transactional, operational, administrative, or service-related mobile messages to users where such communications are reasonably necessary to provide, maintain, secure, support, or administer our products, services, accounts, or customer relationship (“Transactional Communications”).

Transactional Communications may include, without limitation:

  • account registration, verification, authentication, or security messages;

  • password reset and account recovery notifications;

  • order confirmations, purchase receipts, shipment updates, delivery notifications, and service-related updates;

  • appointment, reservation, subscription, or service reminders;

  • payment confirmations, billing notifications, and account status updates;

  • fraud prevention alerts, security notifications, or legally required notices;

  • responses to user-initiated requests or customer support communications^

  • any other transactional messages related to interaction with us.

You acknowledge and agree that Transactional Communications are not considered Marketing  Communications. To the extent permitted by applicable law, Transactional Communications may be sent based on your relationship with us and do not require separate consent applicable to Marketing Communications.

Message frequency varies and depends on your interactions with us, your account activity, and the categories of messages you have consented to receive.

Message and data rates may apply. Charges may be imposed by your wireless carrier in accordance with your mobile service plan.

2. Opting Out

You may opt out of the SMS Program and receiving Marketing Communications at any time by replying STOP to any marketing message.

You may also revoke your consent by using other commonly recognized opt-out keywords, including END, CANCEL, UNSUBSCRIBE, QUIT, PLEASE OPT ME OUT, or any other reasonable method of revoking consent permitted under applicable law, such as contacting our customer support at [email] or [phone] or using other available communication channels.

Following receipt of a valid opt-out request, we will discontinue Marketing Communications to the applicable mobile number without undue delay and, in any event, no later than ten (10) business days after receipt.

After we receive your opt-out request, we will send a one-time confirmation message confirming that you have been unsubscribed. After your opt-out request has been processed, you will no longer receive marketing text messages unless you subsequently opt-in to the SMS Program again.

Opting out of Marketing Communications does not prevent us from sending Transactional Communications that are otherwise permitted by applicable law.

3. HELP and Customer Support

For assistance, reply HELP to any INSTYTUTUM text message or contact our customer support at [email], [phone], or [support webpage].

Our HELP response will provide information about the SMS Program, customer support contact details, and instructions on how to opt out of the SMS Program.

4. Message Delivery

Delivery of mobile messages depends on factors outside our reasonable control, including wireless carrier operations, network availability, device compatibility, geographic location, filtering technologies, and technical interruptions.

We do not guarantee that mobile messages will be delivered, or that delivery will be uninterrupted, timely, secure, or error-free.

Supported wireless carriers may include, among others, AT&T, Verizon, T-Mobile, and other participating U.S. wireless carriers.

Wireless carriers are not liable for delayed or undelivered messages.

5. Timing of Communications

We will use commercially reasonable efforts to send Marketing Communications only between 8:00 a.m. and 9:00 p.m. in the recipient's local time zone, or such other window as required by applicable law.

6. Mobile Number Ownership and Changes

You are responsible for maintaining an accurate and current mobile telephone number associated with your account.

The SMS Program is intended solely for your personal, non-commercial use in connection with the mobile telephone number you provide. You may not enroll a mobile telephone number on behalf of, or for the benefit of, any third party without that party's authorization.

If you change, transfer, deactivate, or otherwise cease using your enrolled mobile telephone number, you agree to promptly update your account information or otherwise notify us.

You acknowledge that we may continue to use the mobile telephone number associated with your account unless and until you provide updated information.

We may use commercially reasonable measures to verify or monitor mobile telephone numbers used for the SMS Program and may suspend or discontinue messaging where we reasonably believe a number is invalid, reassigned, recycled, or no longer associated with the enrolled user.

Enrollment of a new mobile telephone number may require a new consent process.

7. Privacy

We collect, use, store, and otherwise process your mobile phone number and related information for the purposes of administering the SMS Program, delivering SMS communications, maintaining records of consent, processing opt-out requests, and complying with applicable legal obligations.

We do not sell or share your SMS consent or mobile phone number with third parties or affiliates for their own marketing purposes.

We may disclose your information only to trusted service providers that process personal information on our behalf and under our instructions to facilitate SMS delivery and related services.

For additional information about our privacy practices and your rights under applicable U.S. privacy laws, please review our Privacy Policy.

8. Record Retention

We retain records relating to your participation in the SMS Program, including records of your consent and opt-out requests, for as long as reasonably necessary to administer the SMS Program and comply with our legal obligations.

9. Changes to the SMS Program or these SMS Terms

We reserve the right, at any time and without prior notice, to modify, suspend, or terminate the SMS Program, replace messaging service providers, and implement changes required by applicable law. Any updated version of these SMS Terms will be posted on our website together with a revised “Last Updated” date.

Your continued participation in the SMS Program following the effective date of any changes constitutes your acceptance of the revised SMS Terms.

10. Special Disclaimer of Warranties; Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSTYTUTUM SHALL NOT BE LIABLE FOR ANY DELAYS, FAILURES IN DELIVERY, MISDIRECTED MESSAGES, OR OTHER INTERRUPTIONS IN THE SMS PROGRAM CAUSED BY WIRELESS CARRIERS, NETWORK FAILURES, DEVICE COMPATIBILITY, OR OTHER CIRCUMSTANCES BEYOND ITS REASONABLE CONTROL.

NOTHING IN THIS SECTION IS INTENDED TO, OR SHALL, EXCLUDE, LIMIT, OR OTHERWISE AFFECT ANY STATUTORY OR OTHER LEGAL RIGHTS THAT YOU MAY HAVE AS A CONSUMER WHICH CANNOT BE EXCLUDED OR LIMITED AS A MATTER OF APPLICABLE LAW.
